Acceptance of Terms
By accessing or using OTT Engine's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you must not use our services.
These terms apply to all users of OTT Engine's platform, including subscribers, free trial users, and visitors to our website. By creating an account or continuing to use our services, you confirm that you have read, understood, and accepted these Terms of Service.
Section 02
Description of Services
OTT Engine provides a no-code streaming app builder and distribution platform that enables publishers to create, manage, and distribute branded streaming apps on connected TV platforms. Our services include:
- No-code app development tools for Roku, Amazon Fire TV, Apple TV, and other CTV platforms
- App store submission management and certification support
- Content management system (CMS) for organizing and publishing your video library
- Cross-platform analytics and reporting
- Monetization tools including subscription, ad-supported, and pay-per-view models
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to subscribers.
Section 03
Account Registration
You must create an account to access OTT Engine's services. When registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the confidentiality of your account credentials, including your password
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account
You may not share your account with others or create accounts on behalf of third parties without our written consent. OTT Engine is not liable for any loss resulting from unauthorized access to your account caused by your failure to safeguard your credentials.
Section 04
Subscription and Payment
OTT Engine's services are available on a monthly subscription basis. The following payment terms apply:
- Subscription fees are charged in advance at the beginning of each billing period
- All fees are denominated in USD and are non-refundable except as required by applicable law
- We reserve the right to modify our pricing with at least 30 days' written notice to current subscribers
- Failure to pay subscription fees may result in suspension or termination of your access to our services
- You authorize us to charge your payment method on a recurring basis for the applicable subscription fee
If you dispute a charge, please contact us at legal@ottengine.com before initiating a chargeback with your payment provider.
Section 05
Acceptable Use
You agree to use OTT Engine's services only for lawful purposes and in accordance with these Terms. You agree not to:
- Upload content that violates applicable laws or the policies of third-party distribution platforms (Roku, Amazon, Apple)
- Use our services for any illegal, fraudulent, or unauthorized purpose
- Attempt to reverse-engineer, decompile, disassemble, or otherwise circumvent our platform's technology
- Resell, sublicense, or otherwise commercialize access to our services without prior written authorization from OTT Engine
- Upload or transmit malware, viruses, or any other harmful or malicious code
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
- Engage in any activity that places an unreasonable load on our infrastructure or disrupts service for other users
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy, without prior notice in cases of severe violations.
Section 06
Content Ownership
You retain full ownership of all content you upload to OTT Engine, including videos, images, metadata, and other media ("Your Content"). OTT Engine does not claim ownership of Your Content.
By uploading content to our platform, you grant OTT Engine a limited, non-exclusive, royalty-free license to host, store, transcode, distribute, and process Your Content solely for the purpose of delivering our services to you. This license terminates when you remove your content from our platform or close your account.
You represent and warrant that you have all necessary rights, licenses, and permissions to upload Your Content and to grant OTT Engine the license described above.
Section 07
Intellectual Property
OTT Engine's platform, technology, software, user interface designs, trademarks, service marks, logos, and brand assets are owned by OTT Engine Inc. and are protected by copyright, trademark, and other intellectual property laws.
You may not use OTT Engine's brand assets, trademarks, or other proprietary materials without prior written permission from OTT Engine Inc. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited right to use our services as expressly permitted herein.
Section 08
Third-Party Platforms
Our services involve integration with and distribution through third-party platforms, including Roku, Amazon Fire TV, and Apple TV. You acknowledge that:
- Your use of those platforms is subject to their respective terms of service, developer agreements, and content policies
- OTT Engine is not responsible for third-party platform decisions, including app certification rejections, policy changes, or removal of apps from their stores
- Platform certification timelines and outcomes are determined by the respective third-party platforms, not by OTT Engine
- Changes to third-party platform APIs or policies may affect the availability or functionality of certain features
We will work in good faith to help you navigate third-party platform requirements, but we cannot guarantee certification approval or uninterrupted availability on any third-party platform.
Section 09
Limitation of Liability
To the maximum extent permitted by applicable law, OTT Engine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use our services.
Our total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you for our services in the 12 months immediately preceding the claim giving rise to liability.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
Section 10
Indemnification
You agree to indemnify, defend, and hold harmless OTT Engine Inc. and its officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of OTT Engine's services
- Your Content uploaded to our platform
- Your violation of these Terms of Service
- Your violation of any applicable law or regulation
- Your violation of any third party's rights, including intellectual property rights
Section 11
Term and Termination
These Terms of Service remain in effect for as long as you use OTT Engine's services or maintain an active account.
- Termination by You: You may cancel your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.
- Termination by OTT Engine: We may terminate or suspend your account for violation of these Terms, non-payment of fees, or any other reason, with reasonable notice where practicable. In cases of serious violations, we may act without prior notice.
Upon termination, your right to access and use our services ceases immediately. You will have 90 days from cancellation to export your content and data before it is deleted from our systems, in accordance with our Data Retention policy.
Section 12
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or our services shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.
Section 13
Changes to Terms
We may update these Terms of Service at any time. We will notify you of material changes by:
- Sending an email notification to the address associated with your account, and/or
- Displaying a prominent notice within the OTT Engine platform or on our website
Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms of Service. If you do not agree to the updated terms, you must stop using our services and cancel your account before the changes take effect.
