Acceptance of Terms
By accessing or using OTTEngine's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you must not use our services.
These terms apply to all users of OTTEngine's platform, including subscribers, free trial users, and visitors to our website. By creating an account or continuing to use our services, you confirm that you have read, understood, and accepted these Terms of Service.
Section 02
Description of Services
OTTEngine provides a no-code streaming app builder and distribution platform that enables publishers to create, manage, and distribute branded streaming apps on connected TV platforms. Our services include:
- No-code app development tools for Roku, Amazon Fire TV, Apple TV, and other CTV platforms
- App store submission management and certification support
- Content management system (CMS) for organizing and publishing your video library
- Cross-platform analytics and reporting
- Monetization tools including subscription, ad-supported, and pay-per-view models
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to subscribers.
OTTEngine is a self-service platform. Support scope, response times, and fair use are described in Support and Service Scope.
Section 03
Support and Service Scope
OTTEngine provides technical support to help you run the platform. This section sets out what support covers, how quickly we respond, and the limits that keep support sustainable for every customer.
What support covers:
- Defects and errors in the OTTEngine dashboard, CMS, feeds, and APIs
- App packaging, builds, and store submission issues
- Account, subscription, billing, and access questions
- Pointing you to the feature or the documentation that answers your question
What support does not cover. Support is not a consulting or managed-service engagement. The following sit outside support on every plan:
- Content strategy, programming, scheduling, and editorial decisions
- Ad operations, including demand partner selection, tag sourcing, yield management, and revenue optimization
- Marketing, audience growth, and monetization strategy
- Step-by-step walkthroughs of dashboard features that are already documented in our knowledge base
- Work carried out on your behalf inside your dashboard, unless separately agreed in writing
Where you need work beyond this scope, we may be able to quote it separately, subject to our available capacity. We are not obliged to take on work outside the scope of your plan.
Response times. We aim to respond to support requests within 24 to 48 hours on business days, on every plan. Higher plans are answered ahead of lower ones, and Enterprise accounts receive the highest priority together with a dedicated account manager. We commit to a response time, not a resolution time. No plan carries a guaranteed time to diagnose, fix, or deliver.
Fair use. Support is provided on a fair-use basis, sized to your plan. Where an account's support demand persistently exceeds a reasonable volume for its plan, we may group requests and answer them together, direct you to documentation that already covers the question, ask you to move to a plan whose support scope matches your usage, or, where our capacity allows, quote a paid engagement for the work requested.
Self-service platform. Once your app is published you manage your content, channels, live events, schedules, pricing, subscriptions, and app appearance yourself from the dashboard. OTTEngine does not operate, program, or manage your channel for you.
Section 04
Account Registration
You must create an account to access OTTEngine's services. When registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the confidentiality of your account credentials, including your password
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account
You may not share your account with others or create accounts on behalf of third parties without our written consent. OTTEngine is not liable for any loss resulting from unauthorized access to your account caused by your failure to safeguard your credentials.
Section 05
Subscription and Payment
OTTEngine's services are available on a monthly subscription basis. The following payment terms apply:
- Subscription fees are charged in advance at the beginning of each billing period
- All fees are denominated in USD and are non-refundable except as required by applicable law
- We reserve the right to modify our pricing with at least 30 days' written notice to current subscribers
- Failure to pay subscription fees may result in suspension or termination of your access to our services
- You authorize us to charge your payment method on a recurring basis for the applicable subscription fee
- Builds and packaging for each platform require an active subscription that covers that platform, whether through the platforms included in your plan or a platform add-on purchased alongside it
- We do not carry out builds for additional platforms during a free trial
If you dispute a charge, please reach us at contact@ottengine.com before initiating a chargeback with your payment provider.
Section 06
Acceptable Use
You agree to use OTTEngine's services only for lawful purposes and in accordance with these Terms. You agree not to:
- Upload content that violates applicable laws or the policies of third-party distribution platforms (Roku, Amazon, Apple)
- Use our services for any illegal, fraudulent, or unauthorized purpose
- Attempt to reverse-engineer, decompile, disassemble, or otherwise circumvent our platform's technology
- Resell, sublicense, or otherwise commercialize access to our services without prior written authorization from OTTEngine
- Upload or transmit malware, viruses, or any other harmful or malicious code
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
- Engage in any activity that places an unreasonable load on our infrastructure or disrupts service for other users
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy, without prior notice in cases of severe violations.
Section 07
Content Ownership
You retain full ownership of all content you upload to OTTEngine, including videos, images, metadata, and other media ("Your Content"). OTTEngine does not claim ownership of Your Content.
By uploading content to our platform, you grant OTTEngine a limited, non-exclusive, royalty-free license to host, store, transcode, distribute, and process Your Content solely for the purpose of delivering our services to you. This license terminates when you remove your content from our platform or close your account.
You represent and warrant that you have all necessary rights, licenses, and permissions to upload Your Content and to grant OTTEngine the license described above.
Section 08
Intellectual Property
OTTEngine's platform, technology, software, user interface designs, trademarks, service marks, logos, and brand assets are owned by OTTEngine Inc. and are protected by copyright, trademark, and other intellectual property laws.
You may not use OTTEngine's brand assets, trademarks, or other proprietary materials without prior written permission from OTTEngine Inc. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited right to use our services as expressly permitted herein.
Section 09
Third-Party Platforms
Our services involve integration with and distribution through third-party platforms, including Roku, Amazon Fire TV, Apple TV, Android TV and Google Play, Samsung Tizen, LG webOS, iOS, and Android. You acknowledge that:
- Your use of those platforms is subject to their respective terms of service, developer agreements, and content policies
- OTTEngine is not responsible for third-party platform decisions, including app certification rejections, policy changes, or removal of apps from their stores
- Platform certification timelines and outcomes are determined by the respective third-party platforms, not by OTTEngine
- Changes to third-party platform APIs or policies may affect the availability or functionality of certain features
Approval, rejection, suspension, and removal decisions rest solely with the platform operator. OTTEngine assists with diagnosing rejections, making the required fixes, and resubmitting, but commits to no particular outcome and no particular timeline.
Where a platform mandates a technical change to keep apps compliant, for example a required billing library or SDK version by a stated deadline, OTTEngine implements that change as part of ongoing platform maintenance at no additional charge.
We will work in good faith to help you navigate third-party platform requirements, but we cannot guarantee certification approval or uninterrupted availability on any third-party platform.
Section 10
Advertising and Monetization
OTTEngine integrates the VAST ad tags you supply and passes the parameters your demand partners require.
OTTEngine is not an ad network, ad server, ad manager, or demand partner. We do not sell, broker, or source advertising demand on your behalf. You are responsible for your ad partner relationships and for supplying valid tags.
Fill rate, CPM, and advertising revenue depend on your demand partners and on market conditions, and are outside OTTEngine's control. Nothing in the platform or in our materials is a forecast or guarantee of advertising revenue. Where the Auto Ad-Optimization add-on is purchased, it selects between the tags you have supplied; it does not source demand.
Section 11
Limitation of Liability
To the maximum extent permitted by applicable law, OTTEngine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use our services.
Our total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you for our services in the 3 months immediately preceding the claim giving rise to liability.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
Section 12
Indemnification
You agree to indemnify, defend, and hold harmless OTTEngine Inc. and its officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of OTTEngine's services
- Your Content uploaded to our platform
- Your violation of these Terms of Service
- Your violation of any applicable law or regulation
- Your violation of any third party's rights, including intellectual property rights
Section 13
Term and Termination
These Terms of Service remain in effect for as long as you use OTTEngine's services or maintain an active account.
- Termination by You: You may cancel your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.
- Termination by OTTEngine: We may terminate or suspend your account for violation of these Terms, non-payment of fees, or any other reason, with reasonable notice where practicable. In cases of serious violations, we may act without prior notice.
Termination where support demand exceeds plan scope: Our plans are priced on the basis of the support scope described in Support and Service Scope. Where an account's support demand persistently exceeds that scope, we will raise it with you first and offer options, which may include moving to a higher plan or a separately quoted engagement if we have bandwidth to handle this. A paid engagement is offered at our discretion and depends on our available capacity at the time; we may not be able to take on additional work. If no workable arrangement is reached, we may end the subscription by giving written notice, with termination taking effect at the end of your current paid term or 30 days from the notice, whichever is later, so that you receive the service you have paid for. We will give you reasonable assistance and time to export your content and move to another provider. This is a commercial decision rather than a penalty.
Upon termination, your right to access and use our services ceases immediately. You will have 30 days from cancellation to export your content and data before it is deleted from our systems, in accordance with our Data Retention policy.
Section 14
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or our services shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.
Section 15
Changes to Terms
We may update these Terms of Service at any time. We will notify you of material changes by:
- Sending an email notification to the address associated with your account, and/or
- Displaying a prominent notice within the OTTEngine platform or on our website
Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms of Service. If you do not agree to the updated terms, you must stop using our services and cancel your account before the changes take effect.
